Principal Duties and
Responsibilities:
- Propose and recommend to the CEO and the Board of
Directors corporate financial policies, including target dividend payout
ratio, capital structure and credit rating.
- As a member of the Senior Management Team,
participate with other members of the Senior Management Team, and add
value to corporate deliberations across all business units. Participate in and add value to
certain Board Committee meetings, Board meetings and strategic planning
retreats.
- Propose and recommend to the CEO and the Board of
Directors appropriate strategies to create, protect and enhance
shareholder value and articulate a shareholder value preposition that
clearly describes the strategy and ability to execute.
- Propose and recommend to the CEO and the Board of
Directors corporate regulatory policy and oversee CHGE's regulatory
relationships with the New York Public Service Commission, Federal
Energy Regulatory Commission and New York State Energy Research and
Development Authority, including interpretation of applicable regulatory
law, rules and regulations, and advocacy of the Corporation's positions.
- Lead the corporation's new business development
activities, propose and recommend opportunities to invest excess cash
and debt capacity consistent with corporate goals, competencies and risk
tolerance.
- Propose and recommend to the CEO and Board of
Directors mergers and acquisitions as a means of creating shareholder
value.
- At the strategic level, oversee investment and
allocation of the corporation's capital, both within its current
operating subsidiaries and in new business ventures.
- Assure books and records of Company are complete,
valid and accurate, comply with GAAP and all other applicable laws, regulations
and standards. Assure internal
control systems are adequate and reliable and are free of material
weaknesses or significant deficiencies.
Through the Controller and Manager - Internal Audit, continuously
monitor and improve record keeping and control systems.
- Through the Assistant Treasurer, assure adequate
liquidity to meet all foreseeable corporate obligations and
contingencies, assure adequate financial flexibility and access to debt
and equity capital at reasonable terms.
- Through the Manager – Risk Management and
participation in the Corporate Risk Management Committee, assure
comprehensive assessment of organizational risks and competent execution
of plans and programs to avoid, manage and/or mitigate those risks to
the extent feasible and cost effective.
- Develop multi-year financial forecasts that
quantify and analyze the potential effects of alternative strategies to
meet corporate objectives, including earnings growth, mitigation of
volatility, credit worthiness and shareholder value protection and
growth.
- Oversee production of the Annual Business Plan,
including detailed projections of revenues and expenses in a manor that
is consistent with long-term objectives, and obtain timely approval by
the Board of Directors.
- Maintain positive working relationships with
financial institutions, rating agencies, institutional investors,
regulators and other constituencies important to the corporation. Effectively communicate corporate
strategy, financial performance and risk profile to the financial
community.
- Attract and retain high quality financial
executives and place special emphasis on integrity and reliability as
well as executive development and succession.
- Through the Vice President Regulatory Affairs,
assure that reliable, adequate and reasonably priced electricity and
natural gas supplies are procured for full service customers and in a
manner that maximizes customer satisfaction and minimizes regulatory
risk
- Serve on Corporate Risk Management Committee.
- Sign quarterly and annual certifications required
by the Sarbanes Oxley Act, SEC rules or NYSE rules.
- Serve on the Board of Directors of Central Hudson
Gas & Electric Corporation.
- Serve on the Board of Directors of Central Hudson
Enterprises Corporation.
